Q&A
Does a contract need to be in writing?
A: All contracts with third parties involving university resources should be in writing, regardless of prior practice or prior business relationships with the person or entity. For more information, please review the University’s Contract Policy (Contract Policy).
When is General Counsel review required?
A: The University's Contract Policy designates which agreements should be reviewed by the General Counsel prior to signature. The policy states that review by the General Counsel is required for all contracts that:
- Require the University to expend more than $25,000;
- Obligate the University to defend, indemnify or hold harmless the other party;
- Seek to limit the amount or types of liability of the other party;
- Are for a term of three or more years; or
- Involve unique risks and liability to the University.
Are any other departmental reviews required?
A: All contracts should be reviewed and approved in advance by other departments that will need to provide technical support, facilities, or personnel to carry out the contract. For example, a software contract should be reviewed by ITS to determine whether the university can support the software.
Can I sign a contract / letter agreement / lease / purchase agreement / memorandum of understanding on behalf of the University?
A: Only a limited number of employees have been delegated the authority to sign contracts on behalf of the University. See the University’s Contract Policy (Contract Policy)
How should the University be referenced in a contract?
A: All contracts should be in the University’s legal name The University of the South. Do not use Sewanee: The University of the South.
